Club Operator Agreement

This agreement is entered into by signing up as a Club Operator at Greenfee.Golf. The Club Operator (“the Client”) and and Greenfee GC AB (“GGC”) is collectively referred to as the “Parties” below.  
GGC will review all Club Operator applications and once GGC has approved the Club Operator this agreement will come into effect.
If the Parties already have entered into an agreement separately that agreement will serve as the agreement between the Parties and the following agreement below will be voided.
 
Background

GGC operates a digital golf club for golfers in Europe. GGC offers an affordable golf membership for golfers in Europe who mainly play on green fee. The service consists of two parts – a golf membership and attractive offers on green fees from golf courses around the world.
The Client operates a golf course to which it wants to increase its green fee bookings and offer GGCs members access to play on its golf course at a discounted green fee.

 
The service

GGC offers an opportunity for the Client to offer members of GGC to play on green fee at a discount on its golf course(s) (the ”Offer”).


GGCs commitment to the Client
  • List the Offer on a, to the Client, customised course profile page
  • Link to the Offer from a green fee offer listing page
  • Give members of GGC (with their right membership level) access to use the Offer
  • Market the Offer (as GGC sees fit) on Greenfee.Golf
  • Display the Offer in such social media and digital marketing channels as GGC sees fit
 
The Client’s commitment to GGC
  • Provide an offer to GGC’s members with a discount on green fee rounds (in %) from at any time given list pricing
  • Provide GGC with updates affecting the offer (such as, but not limited to, updating GGC if listed green fees are changed).
  • Optional: Provide additional discounts to services provided in connection to the green fee (such as lunch discounts and range / practice discounts)


Course profile page content 

The Client is responsible to maintain and provide content for the course profile page (including but not limited to green fee deal information, regular pricing and course/club information) on Greenfee.Golf in accordance with instructions provided by GGC. 

Failure to maintain and provide such content accurately and timely may result in GGC removing the Client from being a Club Operator at GGC. 

Term

This Agreement shall be effective from the Effective Date and valid for a period of 6 months. Unless terminated by a written notice to the other party at least 3 months prior to the expiry date, the Agreement will automatically be renewed for another period of 6 months.


Ownership

The Parties agree that all products created by GGC (or provided by the Client to GGC) in order to fulfil the scope of this Agreement will remain the property of GGC, as long as it is relevant to the performance of the services set forth in this Agreement.


Intellectual Property

The Client agrees that any intellectual property provided by GGC will remain the sole property of GGC, including (but not limited to) copyrights, patents, trade secret rights, and other intellectual property rights.


Limitation of liability

Under no circumstances will either party be liable for any indirect, special, consequential, or punitive damages (including lost profits) arising out of or relating to this Agreement or the transactions it contemplates (including breach of contract, tort, negligence, or other form of action), unless said damage is the direct result of one of the party’s negligence or breach.


Amendments

The Parties agree that any amendments made to this Agreement must be made in writing.


Dispute Resolution

This Agreement shall be governed by the laws of Sweden. Any dispute, controversy or claim arising out of or in connection with this Agreement, or the breach, termination or invalidity thereof, shall be finally settled by arbitration administered by the Stockholm Chamber of Commerce (SCC). The Rules for Expedited Arbitrations shall apply. The language to be used in the arbitral proceedings shall be English.


Signatures

The Client agree to the terms and conditions set forth in this Agreement by signing up as a Club Operator to Greenfee.Golf.
